Affiliate terms and conditions

These Terms & Conditions (“Agreement”) govern your participation in the skybookings Affiliate Program (“Program”). By enrolling as an Affiliate, you (“you” or “Affiliate”) agree to comply with these terms:

1. Definitions

1. Affiliate: Any person or entity approved by skybookings to refer patrons to skybookings via a tracked link.
2. Curator: The person or entity listing an event on skybookings.
3. Patron: An individual who purchases a ticket to an event via skybookings.
4. Commissionable Sale: A completed ticket purchase referred by an Affiliate, less any cancellations, refunds or chargebacks.
5. Tracking Cookies: Cookies set by skybookings to record referral activity.
6. Payment Date: The Wednesday immediately following the 21-day hold period for Commissionable Sales.

2. Enrollment & Relationship

1. To join the Program, you must submit an application and be approved by skybookings.
2. The contractual relationship for commissions is solely between you and the Curator; skybookings acts only as facilitator.
3. Neither Affiliates nor Organisers are agents of skybookings.

3. Referral Tracking

1. You will receive a unique affiliate link. All referrals must use this link.
2. skybookings uses Tracking Cookies (valid for 30 days) to attribute sales to you.
3. Affiliates may not alter or tamper with tracking mechanisms.

4. Commission & Reversals

1. Rate & Calculation: Your commission rate will be set by the Organiser in writing. Commission is based on the net ticket price (excluding taxes, fees, refunds).
2. Reversal: If a ticket is cancelled or refunded within seven (7) days of purchase, any commission paid or payable is automatically reversed.
3. Right to Cancel: Both the Organiser and Patron may, for cause, terminate affiliation. Commissions accrued up to the date of cancellation will still be paid in accordance with Section 5.

5. Payment Terms

1. Commissionable Sales enter a 21-day hold period from date of ticket purchase.
2. On the Payment Date, skybookings will pay all net, unreversed commissions accrued up to the end of that hold period.
3. Payments are made by electronic funds transfer (“EFT”) to the bank account details you have provided.
4. You are solely responsible for any banking fees in your jurisdiction.

6. Data Privacy & Confidentiality

1. All Patrons referred through your link are the property of the Curator.
2. You will not receive, store, or share any Patron contact details.
3. You must comply with all applicable data-protection laws (e.g. POPIA in South Africa).
4. You must treat any information about Organisers, Patrons, or skybookings as confidential.

7. Affiliate Obligations

You agree not to:

• Engage in deceptive, misleading, or illegal marketing.
• Bid on paid keywords or run ads containing “skybookings” or variations without prior consent.
• Spam (electronic or physical) to promote your affiliate link.
• Misrepresent skybookings, its services, or Commission rates.

8. Intellectual Property

skybookings grants you a limited, non-exclusive, revocable license to use its logos and marketing materials solely for promoting skybookings events. All intellectual property remains skybookings’ property.

9. Indemnity & Limitation of Liability Indemnity

Affiliate: You indemnify and hold harmless skybookings and Organisers against any claims, damages or losses arising from your breach of this Agreement, your marketing activities, or violation of any law.
Organiser: The Organiser indemnifies skybookings and Affiliate against claims arising from event content, ticket fulfilment, or refunds.

Disclaimer: skybookings makes no warranties regarding uptime, tracking accuracy, or the commercial success of your referrals.

Limitation of Liability: In no event will skybookings’ aggregate liability exceed the total commissions paid to you over the preceding three (3) months.

10. Termination

Either party may terminate this Agreement at any time, with or without cause and without written notice.
Upon termination, you must immediately cease all use of skybookings’ or Organisers’ trademarks and remove affiliate links.
skybookings will honour and pay any outstanding commissions in accordance with these Terms.

11. Modifications

skybookings reserves the right to amend these Terms at any time. We will notify you of material changes by email or via the affiliate dashboard. Continued participation constitutes acceptance of the revised Terms.

12. Governing Law & Jurisdiction

This Agreement is governed by the laws of the Republic of South Africa. Any dispute shall be submitted to the exclusive jurisdiction of the courts of Johannesburg.
