Affiliate Terms & Conditions

Applies to: Affiliate referrals, commissions, reversals, withholding, wallet statements, and affiliate payouts.

These Terms & Conditions (“Agreement”) govern participation in the Skybookings Affiliate Program (“Program”). Participation as an Affiliate constitutes acceptance of this Agreement.

This Agreement describes the implemented operational behaviour of the Skybookings platform. Where any promotional or informational material differs, the platform’s implemented rules, controls, and wallet logic shall prevail.

1. Definitions

  1. Affiliate: A person or entity approved by Skybookings to promote events listed on the platform and refer patrons through a tracked affiliate mechanism.
  2. Curator: The person or entity that creates, lists, hosts, or manages an event on the Skybookings platform.
  3. Patron: A customer who purchases a ticket through the Skybookings platform.
  4. Commissionable Sale: A completed booking payment attributed to an Affiliate on the platform, excluding cancellations, reversals, refunds, and chargebacks recorded by the platform.
  5. Transaction: A platform ledger record representing a financial movement, including payment, commission, or commission reversal.
  6. Statement Entry: A wallet record created when a transaction completes and subject to payout eligibility rules.
  7. Available Balance: The portion of an Affiliate’s wallet that is eligible for payout after all holds, reversals, and exclusions are applied.

2. Platform role and relationship

  1. Skybookings operates solely as a technology platform that facilitates event listings, referral tracking, commission accounting, and wallet administration.
  2. Skybookings is not a party to, and does not control, the commercial or operational relationship between Affiliates and Curators.
  3. Participation in the Program requires approval and an active affiliate status on the platform.
  4. Commission rates are configured per event by Curators through the platform.

3. Referral tracking

  1. Affiliates are issued a unique affiliate link or identifier. Commission attribution occurs only where a booking is recorded with that affiliate reference.
  2. Affiliates shall not alter, disable, obscure, or interfere with tracking mechanisms.
  3. Artificial, misleading, or non-genuine referrals are prohibited and invalid for commission purposes.

4. Commission and reversals

4.1 Commission rate and calculation

  1. Commission rates are set by Curators on a per-event basis.
  2. When a successful booking payment is processed and attributed to an Affiliate, the platform calculates commission as a percentage of the successful payment amount recorded in the platform’s transaction ledger.
  3. For each commissionable sale, the platform records:
    • a commission credit to the Affiliate wallet; and
    • a corresponding commission debit to the Curator or event account.

4.2 Cancellations and commission reversals

  1. If a booking is cancelled within seven (7) days of the booking’s creation timestamp, the platform automatically reverses any associated commission.
  2. Reversal is executed by recording corresponding ledger entries that unwind the commission effect on the Affiliate wallet.

5. Wallet, holding periods, and payout availability

5.1 Wallet accounting

  1. Each completed commission transaction generates a corresponding statement entry in the Affiliate wallet.

5.2 Withholding of affiliate commissions

  1. Affiliate commission credits are withheld from payout eligibility when posted to the wallet.
  2. Withheld entries are marked as not withdrawable.
  3. Holding is tied to the lifecycle of the associated event.

5.3 Release of withheld commissions

  1. Withheld commission entries become withdrawable only once released by the platform.
  2. Release occurs after the associated event has concluded or reached completion as recorded on the platform.
  3. Affilate payouts upon release are subject to the normal payout terms and conditions i.e. payable on the subsequent Wednesday with the option of an instant payout, in which case a 1% fee is levied on the account.

5.4 Off-platform and non-collected transactions

  1. Transactions not collected by Skybookings are not payable through the Skybookings wallet.
  2. Such items are recorded with zero payout impact to prevent inflation of the Available Balance.

6. Payment terms (affiliate payouts)

  1. Affiliates may request payout only up to the Available Balance.
  2. The Available Balance excludes withheld, unreleased, reversed, or non-payable entries.
  3. Payouts are processed using payout details supplied by the Affiliate.
  4. Any third-party banking fees are borne by the Affiliate.

7. Data privacy and confidentiality

  1. Affiliates do not receive patron contact details unless explicitly authorised and legally compliant.
  2. Affiliates shall comply with all applicable data protection laws, including POPIA where applicable.
  3. Non-public information relating to Skybookings, Curators, or Patrons shall be treated as confidential.

8. Affiliate conduct

Affiliates shall not:

  1. Engage in deceptive, misleading, or unlawful marketing.
  2. Use spam or unsolicited communications.
  3. Misrepresent Skybookings, Curators, events, pricing, or commission arrangements.
  4. Interfere with tracking, attribution, or platform systems.

9. Intellectual property

  1. Approved marketing materials may be used solely to promote events listed on the platform.
  2. All intellectual property rights remain vested in Skybookings or the respective rights holders.

10. Limitation of liability

  1. Skybookings provides the platform on an as-is basis.
  2. Skybookings bears no responsibility for outcomes, disputes, performance, or fulfilment arising between Affiliates and Curators.
  3. Skybookings’ total liability in connection with the Program is limited to commissions actually paid to the Affiliate during the preceding three (3) months.

11. Termination

  1. Participation may be terminated by either party at any time.
  2. Upon termination, Affiliates shall cease use of Skybookings branding and remove affiliate links where reasonably possible.
  3. Wallet balances remain subject to holding, release, reversal, and payout rules following termination.

12. Modifications

Skybookings may amend these Terms by updating this document. Continued participation constitutes acceptance of the amended Terms.

13. Governing law and jurisdiction

This Agreement is governed by the laws of the Republic of South Africa. Jurisdiction is vested exclusively in the courts of Johannesburg.
